These Terms of Service ("Terms") govern your access to and use of the automate.help website and the products and services provided by Automate Help LLC, a Texas limited liability company ("Automate Help," "we," "our," or "us") (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
You must be at least 13 years old, or the minimum age required in your jurisdiction (whichever is higher), to use the Services. If you are between the applicable minimum age and 18 (or the age of majority in your jurisdiction), you may use the Services only with the consent of a parent or legal guardian. By using the Services, you represent that you meet these age requirements.

We reserve the right to suspend or terminate accounts that violate these Terms.
Automate Help offers custom application development, automation, server and backend systems, website design, and related products and services. The specific scope, deliverables, timelines, and fees for any engagement will be set out in a separate written proposal, statement of work, or agreement ("Engagement Agreement").
In the event of a conflict between these Terms and a signed Engagement Agreement, the Engagement Agreement controls for that engagement. Some products offered by Automate Help LLC may also be subject to separate, product-specific terms presented at the point of access.
You retain ownership of any content, data, files, or materials you provide to us in connection with the Services ("Your Materials"). You grant Automate Help a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, and process Your Materials solely to provide and operate the Services for you.
We do not claim ownership of Your Materials, and we do not use Your Materials to train AI models without your express consent.
Ownership of work product and deliverables produced for you under an Engagement Agreement is governed by that agreement. Unless otherwise agreed in writing, Automate Help retains all rights to its pre-existing materials, tools, frameworks, know-how, and the Automate Help name, logo, website, and branding.
Except for the limited rights expressly granted to you, no rights are transferred to you.
You agree NOT to use the Services to:
We may investigate suspected violations of these Terms, suspend or terminate accounts, preserve relevant records, and report apparent violations to appropriate authorities as required by law or to protect the safety of others.
Where the Services or an engagement require payment, you authorize Automate Help LLC (or our payment processors, such as Stripe) to charge your payment method on the schedule disclosed at the point of purchase or in your Engagement Agreement.
Recurring subscriptions auto-renew unless cancelled. You may cancel at any time as described at the point of purchase or in your account settings. Refunds are handled according to the applicable Engagement Agreement or the policy disclosed at purchase, except where required by law.

The Services may integrate with or rely on third-party services (such as cloud hosting, payment processing, authentication, analytics, and email delivery providers). Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the practices or content of third parties.
If you believe content made available through the Services infringes your copyright, contact us at legal@automate.help with a description of the work, the allegedly infringing material, your contact information, and a good-faith statement. We will respond as required by applicable law.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or secure, or that they will meet your requirements.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOMATE HELP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
You agree to indemnify and hold harmless Automate Help LLC, its officers, members, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, Your Materials, or your violation of these Terms.
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Services ends immediately. You may stop using the Services and delete your account at any time.
We may update these Terms from time to time. We will post the updated Terms on this page with a new "Last Updated" date. Material changes will be communicated through the Services or by email when possible. Continued use of the Services after changes constitutes acceptance.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. You agree that any disputes shall be resolved in the state or federal courts located in Williamson County, Texas.
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
These Terms, together with our Privacy Policy and any applicable Engagement Agreement, constitute the entire agreement between you and Automate Help LLC regarding the Services.
